PlateBuds - Terms of Use**

Here is the updated version of your Terms of Use. The only change is in Section 8, where Yelp has been added.

Welcome to PlateBuds! These Terms of Use ("Terms") govern your access to and use of the PlateBuds mobile application (the "App") and any related services (collectively, the "Services") provided by Mokabyte LLC ("we," "us," or "our").

By downloading, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

1. The PlateBuds Service

PlateBuds is a platform designed to connect users who wish to dine out with others. Our Service allows users to create ("Host") or join ("Participant") small, spontaneous group meals at public restaurants and venues. Our platform is a neutral venue for connecting people; we are not a party to any agreement or interaction between users.

2. Eligibility

To use PlateBuds, you must:

  • Be at least 19 years of age.
  • Reside within the United States.
  • Have the power to enter a binding contract with us and not be barred from doing so under any applicable laws.

By using the App, you represent and warrant that you meet all of the foregoing eligibility requirements.

3. User Accounts

  • Account Creation: To access the Services, you must create an account using a valid email address through an approved third-party authentication service (e.g., Google or Apple). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Account Information: You agree to provide accurate, current, and complete information during the registration process. Your account information, including your username, is subject to our Privacy Policy.
  • Account Termination: You may delete your account at any time. We reserve the right to suspend or terminate your account at our sole discretion, without notice, for any conduct that we believe violates these Terms, is harmful to other users or our community, or for any other reason. Upon termination, your account and associated data will be subject to immediate deletion.

4. User-Generated Content

  • Your Content: Users can create content, such as meetup posts, descriptions, and messages in the in-app chat ("User Content"). You retain all ownership rights to your User Content.
  • License to Us: By creating User Content, you grant Mokabyte LLC a worldwide, non-exclusive, royalty-free, transferable license to use, host, display, reproduce, modify, and distribute your User Content in connection with operating and providing the Services. This license is solely for the purpose of operating, developing, and improving the App.
  • Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent that your User Content does not violate any third-party rights, including privacy and intellectual property rights.

5. Code of Conduct

Your use of the PlateBuds service is subject to the following rules. You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
  • Harass, threaten, stalk, defame, or otherwise abuse another user.
  • Post or transmit any User Content that is fraudulent, libelous, hateful, discriminatory, obscene, or otherwise objectionable.
  • Use the Service for any commercial purpose, such as advertising, solicitation, or spam, without our prior written consent.
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Scrape, reverse-engineer, decompile, or otherwise attempt to access the source code of the App.
  • Create multiple accounts to evade suspension or termination.
  • Use the in-app chat for any purpose other than coordinating the specifics of a confirmed meetup.
  • Consistently fail to attend meetups you have hosted or joined, as this undermines the integrity of the community. Your attendance rate is a key metric, and low rates may result in account limitations or termination.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision.

6. Safety and Disputes Between Users

You are solely responsible for your interactions with other users. PlateBuds is a platform to facilitate connections, and we are not responsible for the conduct of any user, either on or off the App.

  • Meet in Public: You agree to follow all safety guidelines, including meeting only in public places.
  • No Responsibility: We do not conduct background checks on our users. Your interactions with other users are at your own risk. Mokabyte LLC and its affiliates shall not be liable for any damages—direct, indirect, incidental, or consequential—arising out of your use of the Service, including, without limitation, damages arising from your meetings or communications with other users.
  • Disputes: We are not obligated to mediate or resolve disputes between users. We reserve the right, but have no obligation, to monitor disputes.

7. Location Information

To provide our Services, we require access to location-based information. When you use the App, we may use your device's location to show you nearby meetup posts and restaurants. This location data does not leave your device and is used solely to filter and display relevant content within the App. We do not store your historical location data. 8. Third-Party Services (Revised Section)

The PlateBuds app may contain integrations with or links to third-party websites or services. For example, we use Mapbox to display maps and the Yelp API to provide restaurant search results. We are not responsible for the content, policies, or practices of these third-party services. Your use of such features is subject to their respective terms and privacy policies.

9. Intellectual Property Rights

All rights, title, and interest in and to the Services, including the App's design, software, logo, and other visual elements (excluding User Content), are and will remain the exclusive property of Mokabyte LLC. You may not copy, modify, or create derivative works based on our intellectual property.

10. Disclaimers and Limitation of Liability

  • "AS-IS" Service: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MOKABYTE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OF THE SERVICE; (II) THE CONDUCT OF ANY USER OR THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the state and federal courts located in California for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction.

12. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide you with notice through the Service (e.g., by email or an in-app notification). By continuing to use the Services after those changes become effective, you agree to be bound by the revised Terms.
